Terms of Service

Accepting these terms

By installing the app, creating an account or using the website, you agree to these Terms and to our Privacy Policy, Cookie Policy and Acceptable Use Policy. If you do not agree, do not use the Service.

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, a parent or legal guardian must agree to these Terms on your behalf.

Your license to the app

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Enzonic Clips desktop app on devices you own or control, for personal and non-commercial streaming or content-creation use, subject to these Terms.

You may not:

• copy, modify, distribute, sell or lease the app, except as allowed by law or by the licenses of included open-source components;
• reverse engineer or decompile the app, except where applicable law expressly permits it;
• remove or change any proprietary notices; or
• use the app to build a competing product or to break any law.

The app includes third-party open-source software, such as FFmpeg and Vosk, which is licensed under its own terms. Those licenses govern your use of those components and are listed in the app.

Accounts

You do not need an account to record clips. Uploading and sharing clips requires an account. Sign-in is provided by our authentication provider, Clerk, and may be shared across Enzonic services on enzonic.com.

You are responsible for activity on your account and for keeping your sign-in methods secure. Tell us promptly at admin@enzonic.com if you believe your account has been compromised.

Your content

You keep ownership of the clips, audio, titles and other material you create or upload (“Your Content”). Clips you record stay on your device unless you choose to upload them.

When you upload Your Content, you grant Enzonic a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, display and distribute it only as needed to operate the Service. This includes making it available to anyone who has its share link. This license ends when you delete the content or your account, except for copies in backups that are removed on a normal schedule, or where we must keep it by law.

You confirm that you have the rights needed to upload Your Content, including rights to any game footage, music or voices of other people it contains, and that it follows our Acceptable Use Policy. Many game publishers allow gameplay videos under their own policies. Following those policies is your responsibility.

Free service, limits and future plans

The Service is currently free. We may set reasonable limits on uploads, such as file size, number of clips or storage time, and we will show those limits in the app.

If we introduce paid plans in the future, we will show the price and terms before you buy, and those terms will apply to the purchase.

Suspension and termination

You may stop using the Service at any time and may ask us to delete your account by emailing admin@enzonic.com.

We may suspend or end your access, or remove content, if you break these Terms or the Acceptable Use Policy, if required by law, or to protect users or the Service. Where reasonable, we will tell you why.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, ENZONIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not guarantee that every moment will be captured, that clips will never be lost, or that the app will work with every game, anti-cheat system, device or driver. Keep your own copies of clips that matter to you.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ENZONIC AND ITS MEMBERS, MANAGERS AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $50.

Some jurisdictions do not allow these limits, so some of them may not apply to you.

Indemnity

You agree to defend and indemnify Enzonic against claims, damages and costs, including reasonable attorneys’ fees, that arise from Your Content or from your breach of these Terms.

Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky and applicable U.S. federal law, without regard to conflict-of-law rules.

Before filing a claim, please email admin@enzonic.com so we can try to resolve it informally within 60 days.

If we cannot resolve it, any dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Kentucky. Either party may instead bring an individual claim in small claims court. YOU AND ENZONIC WAIVE ANY RIGHT TO A JURY TRIAL OR TO TAKE PART IN A CLASS ACTION. You may opt out of arbitration by emailing admin@enzonic.com within 30 days of first accepting these Terms.

Any claim not subject to arbitration will be brought only in the state or federal courts located in Kentucky, and both parties consent to their jurisdiction.

Changes to these terms

We may update these Terms. If a change is material, we will give notice in the app or by email at least 14 days before it takes effect. If you keep using the Service after that, you accept the updated Terms.

General

If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of the business. These Terms, with the policies they reference, are the entire agreement between you and Enzonic about the Service.
